About These Terms

These terms are the agreement between you and BillGrid for using the BillGrid website and app, which let you send invoices and estimates, track time and expenses, and get paid by your clients. BillGrid is run by Anton M., an individual based in California (“BillGrid”, “we”, “us”). When creating an account, you must agree to these terms. Our Privacy Policy explains how we handle personal information.

For existing accounts, changes take effect under Changes to BillGrid and to These Terms below. Publishing an updated version does not replace any notice required there.

Who Can Use BillGrid

  • You must be at least 18 years old.
  • BillGrid offers accounts for business and professional use, including by freelancers and sole proprietors, rather than personal or household use. You represent that you use it for purposes relating to your trade, business, craft or profession.
  • If you sign up on behalf of a business, you confirm that you have the authority to accept these terms for it, and “you” means that business. You personally confirm the other statements in this section.

Your Account and Your Team

  • Give accurate information when you sign up, and keep it up to date.
  • Keep your password safe. You are responsible for everything that happens in your account.
  • The account owner (an administrator) controls billing and can close the account. People you add as staff or contractors act on your behalf, and you are responsible for what they do in BillGrid. Make sure they follow these terms, and remove their access when they no longer need it.
  • Tell us right away at support@billgrid.com if you think someone has used your account without permission.

Using BillGrid

While your account is active, we give you a limited, non-exclusive, non-transferable right for you and the people you add to use BillGrid in your business. BillGrid itself, including its software, design and name, stays ours. You may not:

  • copy, resell or rent BillGrid, or offer it to others as a service;
  • reverse engineer it, or try to get around its security or usage limits;
  • access it through automated means other than the features we provide, or put an unreasonable load on it;
  • use it to break the law, to defraud or impersonate anyone, or to bill for goods or services you are not allowed to sell;
  • use it in violation of applicable sanctions, export controls or trade restrictions, including those administered by the U.S. Treasury Department’s Office of Foreign Assets Control;
  • send spam or unsolicited bulk email through it, or upload malware or content you have no right to share.

If you send us ideas or feedback, we may use them without any obligation to you.

Your Data

Everything you put into BillGrid — your clients, invoices, estimates, timesheets, expenses and files — belongs to you. You give us permission to store, process and display it only as needed to run, secure and improve BillGrid, to support you when you ask, and to comply with the law. We rely on service providers, such as hosting, email and payment companies, to do this. We do not sell your data.

You can download invoices and estimates as PDFs, attachments as the files you uploaded, and reports as CSV or Excel files whenever you have access to your account. We work to keep BillGrid available and your data backed up, but no service is perfect, so keep your own copies of anything you can’t afford to lose.

Your Clients and Their Payments

  • You are responsible for the invoices and estimates you send: what they say, the prices, and the tax rates you apply. BillGrid is not tax, legal or accounting advice.
  • When you send an invoice, estimate or reminder, or schedule BillGrid to send one automatically, BillGrid emails it from a BillGrid address on your behalf, with replies going to you; the rules for that email are under Email Sent Through BillGrid below. Only add your clients’ personal information to BillGrid when you are allowed to.
  • Anyone who has the link to an invoice or estimate can open it, so share links only with the people they are meant for.
  • For supported online card payments, your clients pay you through your connected Stripe account. BillGrid provides billing software and passes payment instructions to the provider; we do not receive or hold those client funds. The provider’s terms and fees apply. You remain responsible for the underlying sale, refunds, disputes and chargebacks. A payment authorization or status shown in BillGrid does not guarantee settlement or prevent a reversal.

Contracts and Electronic Signatures

BillGrid lets you write contracts, send them to your clients and collect their electronic signatures. A contract you send through BillGrid is between you and your client. BillGrid is not a party to it, does not represent you or your client, and is not responsible for whether either of you performs it or whether it can be enforced.

Templates, clauses, “In short” notes and other wording we provide are a general starting point, not legal advice. BillGrid is not a law firm, and nothing we provide is a substitute for the advice of an attorney. You decide what your contract says, and you are responsible for making sure it fits your work and meets the laws that apply to you and your client, including consumer protection, home solicitation, freelance worker and language laws. We may change or withdraw templates at any time; a change never alters a contract already signed.

We record evidence of each signature, as our Privacy Policy describes. We don’t promise that a court or other authority will accept a particular electronic signature or contract. Don’t use BillGrid for documents the law requires to be signed in ink, witnessed, notarized or made as a deed, such as wills, powers of attorney, guarantees or real estate transfers.

When a contract is signed, our record-retention commitment is 10 years after signing or 6 years after the contract ends, whichever is later, and longer while a dispute is open, even if you close your account, so every signer can request their copy. Client signers can use Find a signed record with the original link and signing email. Business representatives, or anyone unable to recover their copy that way, can contact support@billgrid.com. We verify a requester’s identity and entitlement before releasing a record. We may also disclose a record when the law or valid legal process requires. If anyone needs more than our standard records declaration, such as testimony, we may charge our reasonable costs.

Signed agreements cannot be edited through the app. This does not limit applicable privacy rights or override legal requirements about personal information. We assess requests for access, correction, restriction or deletion under applicable law, including whether particular information is necessary to meet a legal obligation or establish, exercise or defend legal claims. Our Privacy Policy explains these records and how to make a request.

Email Sent Through BillGrid

Email that BillGrid sends for you goes out under BillGrid’s name, and abuse by one account can stop email reaching everyone else’s clients. So every account needs to follow these rules:

  • Only email your own clients and business contacts, about your work with them. Don’t email bought, rented or scraped lists, or people you have no business with.
  • Never send phishing, messages that pretend to come from someone else (including BillGrid), requests for passwords, card numbers or bank logins, or malware or links to it.
  • Don’t use BillGrid for marketing or bulk email, and stop emailing anyone who asks you to.
  • Follow the laws on email that apply to you, such as the U.S. CAN-SPAM Act.
  • A trial without a payment plan can send one email to at most 10 people across To and Cc. Accounts with a subscription, including a card-backed subscription trial, or days already paid for can send to at most 20.
  • A trial without a payment plan can attempt email to up to 50 recipients a day; accounts with a subscription or days already paid for can attempt up to 100. The day resets at midnight in your account’s time zone. Every address in To, Cc and Bcc counts on every sending attempt, including repeat emails, invoices, estimates and reminders BillGrid sends for you. We warn you at 90% of your allowance; a message that would exceed the remaining allowance is not sent. You can send more when your limit resets, or subscribe for a higher allowance. If your business needs more, contact support@billgrid.com. We may also hold, delay or refuse messages that look like abuse.

Mistakes happen, like a mistyped address or a message a client doesn’t recognize. If something looks wrong, we may pause your email while we look into it. If it was a mistake, we’ll help you fix it and turn your email back on. Deliberate or serious abuse, such as phishing, fraud, malware or bulk spam, is different: we may stop your email or close your account right away, and share what happened with email providers or the authorities.

Free Trial, Plans and Billing

  • Trial. New accounts get a 30-day free trial, and no card is needed to start it. If you haven’t subscribed when it ends, your account pauses: an administrator can still sign in to choose a plan, and your data is kept.
  • Subscriptions. Plans are billed in advance in US dollars, by card or PayPal, on the monthly or annual cycle chosen at checkout, and renew automatically until you cancel; by subscribing you authorize these recurring charges. If you add a card during your trial, your first charge is when the trial ends. Current prices are on our pricing page.
  • Plan changes. If you upgrade or add people during a billing period, we may add the difference for the rest of that period to your next bill. Lowering your plan takes effect from your next period.
  • Refunds. Fees are non-refundable, including annual payments and partial periods, unless the law requires otherwise or these terms say so. Canceling stops renewal; access continues through the period already paid for.
  • Failed payments. If we can’t collect a payment, we’ll email you, and your account may pause until it is paid.
  • Price changes. We will email you at least 30 days before a new price applies to you, so you can cancel first if you prefer.
  • Taxes. Prices don’t include applicable taxes unless stated otherwise. You are responsible for taxes the law places on you, excluding taxes on our net income. This does not transfer any tax collection or remittance obligation the law places on BillGrid to you.

Canceling and Closing Your Account

An administrator can cancel your subscription at any time by emailing support@billgrid.com. For card subscriptions, you can also use Cancel plan in Settings › Plans and Pricing when available. If you pay by PayPal, choose Manage automatic payment there or cancel in PayPal. Your plan keeps working until the end of the period you have already paid for; after that your account pauses and your data is kept, so you can come back by subscribing again. While an account is paused, you can ask us for an export of your data. If an account stays paused for a long time, we may delete its data, but only after emailing the account owner at least 30 days beforehand.

Closing your account is different: an administrator can close it from Settings, which ends everyone’s access right away, stops future charges for your subscription without a refund for the current period, and cannot be undone. (A few older subscriptions have to be canceled by hand; we do that within a few business days and refund any charge made after you closed.) Export anything you need first. After an account is closed we keep its records only as long as we need them for legal, tax, security or backup purposes. If you ask us at support@billgrid.com to delete retained personal information, we will do so within a reasonable time and any applicable legal deadline, except information we need to retain to comply with legal obligations or establish, exercise or defend legal claims. Backup copies expire on their applicable schedule.

Third-Party Services

BillGrid works with services run by others, such as Stripe and PayPal for payments and Google Calendar for calendar sync. When you connect one, you let BillGrid exchange the data needed to make that feature work, and your use of that service is governed by its own terms. We are not responsible for services we don’t run.

Changes to BillGrid and to These Terms

We keep improving BillGrid, so features will change over time. If we make a material change to these terms, we will tell you by email or in BillGrid at least 30 days before it takes effect. If you keep using BillGrid after that, the new terms apply; if you don’t agree, you can cancel before then. Changes needed to comply with the law, or that don’t reduce your rights, may take effect sooner.

Suspension and Termination

We may suspend or close an account that breaks these terms, doesn’t pay, or puts BillGrid, our other customers or anyone else at risk. We look at what actually happened, and we treat a good-faith mistake differently from deliberate abuse. Unless the problem is serious or urgent, or the law prevents it, we will tell you first and give you a reasonable chance to fix it. For deliberate or serious harm, such as phishing, fraud, malware or bulk spam, we may act right away. If you think we got it wrong, email support@billgrid.com and we will review it. If we close your account, you can still ask us for an export of your data within 30 days, unless the law or the harm involved prevents it. If we close your account for serious or repeated violations, you may not open another one without our permission.

If we ever decide to stop offering BillGrid, we will do our best to give you at least 30 days’ notice so you can export your data, and we will refund any fees you have paid for time after it closes.

Disclaimer

BILLGRID IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT THE LAW ALLOWS, WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND WE DO NOT PROMISE THAT BILLGRID WILL BE UNINTERRUPTED, ERROR-FREE OR THAT DATA WILL NEVER BE LOST.

Limitation of Liability

TO THE FULLEST EXTENT THE LAW ALLOWS, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM YOUR USE OF BILLGRID. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO BILLGRID IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR US $100.

We are not liable for the terms of any contract between you and your client, or for whether it is enforced.

These exclusions and limits apply only to the extent permitted by applicable law and do not exclude or limit liability that cannot lawfully be excluded or limited.

Indemnity

If someone brings a claim against us because of the content you put into BillGrid, the invoices or emails you send through it, the contracts you send through it or make with your clients, or your breach of these terms or of the law, you agree to cover our reasonable losses and costs from that claim.

Governing Law

These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute about them or about BillGrid will be heard in the state or federal courts located in California, and both of us agree to those courts’ jurisdiction. Either of us may still bring a claim in small-claims court.

This section does not take away protections or access to courts that applicable mandatory law gives you.

General

  • These terms and our Privacy Policy are the whole agreement between us about BillGrid.
  • Nothing in these terms waives rights or protections, including any consumer protections, that applicable law does not allow you to waive.
  • We send notices to the account owner’s email address, so keep it current; you agree to receive them electronically. Send notices to us at support@billgrid.com.
  • Sections about fees you owe, your data, contracts and signed records, disclaimers, liability, indemnity and governing law continue to apply after your account ends.
  • If any part of these terms can’t be enforced, the rest still applies.
  • If we don’t enforce a right straight away, we haven’t given it up.
  • You may not transfer these terms without our consent. We may transfer them to a company that takes over running BillGrid, and we will tell you if we do.
  • We are not responsible for delays or failures caused by events outside our reasonable control.
