About These Terms

These terms are the agreement between you and BillGrid for using the BillGrid website and app, which let you send invoices and estimates, track time and expenses, and get paid by your clients. BillGrid is run by Anton M., an individual based in California (“BillGrid”, “we”, “us”). By creating an account or using BillGrid, you agree to these terms and to our Privacy Policy.

Who Can Use BillGrid

  • You must be at least 18 years old.
  • BillGrid is for business and professional use, including by freelancers and sole proprietors.
  • If you sign up on behalf of a business, you confirm that you have the authority to accept these terms for it, and “you” means that business. You personally confirm the other statements in this section.

Your Account and Your Team

  • Give accurate information when you sign up, and keep it up to date.
  • Keep your password safe. You are responsible for everything that happens in your account.
  • The account owner (an administrator) controls billing and can close the account. People you add as staff or contractors act on your behalf, and you are responsible for what they do in BillGrid. Make sure they follow these terms, and remove their access when they no longer need it.
  • Tell us right away at support@billgrid.com if you think someone has used your account without permission.

Using BillGrid

While your account is active, we give you a limited, non-exclusive, non-transferable right for you and the people you add to use BillGrid in your business. BillGrid itself, including its software, design and name, stays ours. You may not:

  • copy, resell or rent BillGrid, or offer it to others as a service;
  • reverse engineer it, or try to get around its security or usage limits;
  • access it through automated means other than the features we provide, or put an unreasonable load on it;
  • use it to break the law, to defraud or impersonate anyone, or to bill for goods or services you are not allowed to sell;
  • send spam or unsolicited bulk email through it, or upload malware or content you have no right to share.

If you send us ideas or feedback, we may use them without any obligation to you.

Your Data

Everything you put into BillGrid — your clients, invoices, estimates, timesheets, expenses and files — belongs to you. You give us permission to store, process and display it only as needed to run, secure and improve BillGrid, to support you when you ask, and to comply with the law. We rely on service providers, such as hosting, email and payment companies, to do this. We do not sell your data.

You can download invoices and estimates as PDFs, attachments as the files you uploaded, and reports as CSV or Excel files whenever you have access to your account. We work to keep BillGrid available and your data backed up, but no service is perfect, so keep your own copies of anything you can’t afford to lose.

Your Clients and Their Payments

  • You are responsible for the invoices and estimates you send: what they say, the prices, and the tax rates you apply. BillGrid is not tax, legal or accounting advice.
  • When you send an invoice, estimate or reminder, or schedule BillGrid to send one automatically, BillGrid emails it from a BillGrid address on your behalf, with replies going to you. Only send to people you have a business reason to contact, and only add your clients’ personal information to BillGrid when you are allowed to.
  • Anyone who has the link to an invoice or estimate can open it, so share links only with the people they are meant for.
  • When your clients pay online, they pay you through your own account with a payment provider you connect, such as Stripe. That provider’s terms and fees apply. BillGrid is not a party to those payments and never holds your money, so refunds, disputes and chargebacks are between you, your client and the provider.

Free Trial, Plans and Billing

  • Trial. New accounts get a 30-day free trial, and no card is needed to start it. If you haven’t subscribed when it ends, your account pauses: an administrator can still sign in to choose a plan, and your data is kept.
  • Subscriptions. Plans are billed in advance, monthly, in US dollars, by card or PayPal, and renew automatically until you cancel; by subscribing you authorize these recurring charges. If you add a card during your trial, your first charge is when the trial ends. A prepaid term runs for the period you paid for and does not renew automatically.   • Plan changes. If you upgrade or add people during a billing period, we may add the difference for the rest of that period to your next bill. Lowering your plan takes effect from your next period.
  • Refunds. Fees are non-refundable, including for partial periods, unless the law requires otherwise or these terms say so.
  • Failed payments. If we can’t collect a payment, we’ll email you, and your account may pause until it is paid.
  • Price changes. We will email you at least 30 days before a new price applies to you, so you can cancel first if you prefer.
  • Taxes. Prices don’t include taxes. You are responsible for any taxes that apply to your subscription.

Cancelling and Closing Your Account

An administrator can cancel your subscription at any time from Settings or by emailing support@billgrid.com; if you pay by PayPal, you can also cancel in PayPal. Your plan keeps working until the end of the period you have already paid for; after that your account pauses and your data is kept, so you can come back by subscribing again. While an account is paused, you can ask us for an export of your data. If an account stays paused for a long time, we may delete its data, but only after emailing the account owner at least 30 days beforehand.

Closing your account is different: an administrator can close it from Settings, which ends everyone’s access right away, stops future charges for your subscription without a refund for the current period, and cannot be undone. (A few older subscriptions have to be cancelled by hand; we do that within a few business days and refund any charge made after you closed.) Export anything you need first. After an account is closed we keep its records only as long as we need them for legal, tax, security or backup purposes. If you ask us at support@billgrid.com to delete them sooner, we will do so within a reasonable time, except for copies in backups, which are overwritten on their normal schedule.

Third-Party Services

BillGrid works with services run by others, such as Stripe and PayPal for payments and Google Calendar for calendar sync. When you connect one, you let BillGrid exchange the data needed to make that feature work, and your use of that service is governed by its own terms. We are not responsible for services we don’t run.

Changes to BillGrid and to These Terms

We keep improving BillGrid, so features will change over time. If we make a material change to these terms, we will tell you by email or in BillGrid at least 30 days before it takes effect. If you keep using BillGrid after that, the new terms apply; if you don’t agree, you can cancel before then. Changes needed to comply with the law, or that don’t reduce your rights, may take effect sooner.

Suspension and Termination

We may suspend or close an account that breaks these terms, doesn’t pay, or puts BillGrid, our other customers or anyone else at risk. When it is reasonable to do so, we will warn you first and give you a chance to fix the problem.

If we ever decide to stop offering BillGrid, we will do our best to give you at least 30 days’ notice so you can export your data, and we will refund any fees you have paid for time after it closes.

Disclaimer

BILLGRID IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT THE LAW ALLOWS, WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND WE DO NOT PROMISE THAT BILLGRID WILL BE UNINTERRUPTED, ERROR-FREE OR THAT DATA WILL NEVER BE LOST.

Limitation of Liability

TO THE FULLEST EXTENT THE LAW ALLOWS, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM YOUR USE OF BILLGRID. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO BILLGRID IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR US $100.

Indemnity

If someone brings a claim against us because of the content you put into BillGrid, the invoices or emails you send through it, or your breach of these terms or of the law, you agree to cover our reasonable losses and costs from that claim.

Governing Law

These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute about them or about BillGrid will be heard in the state or federal courts located in California, and both of us agree to those courts’ jurisdiction. Either of us may still bring a claim in small-claims court.

General

  • These terms and our Privacy Policy are the whole agreement between us about BillGrid.
  • We send notices to the account owner’s email address, so keep it current; you agree to receive them electronically. Send notices to us at support@billgrid.com.
  • Sections about fees you owe, your data, disclaimers, liability, indemnity and governing law continue to apply after your account ends.
  • If any part of these terms can’t be enforced, the rest still applies.
  • If we don’t enforce a right straight away, we haven’t given it up.
  • You may not transfer these terms without our consent. We may transfer them to a company that takes over running BillGrid, and we will tell you if we do.
  • We are not responsible for delays or failures caused by events outside our reasonable control.
