The Business
[Business legal name]
The Client
[Client legal name]

1. The work

The Business will do this work for the Client: [describe the shoot or project, its date and place, and the deliverables, such as the number of edited images]. Work not described here is outside this agreement and is added only by a change both parties approve in writing.

2. Fees and booking

The Client pays the Business [the fee] for the work. A booking payment of [the booking amount] is due on signing; it holds the date and counts toward the fee. The rest is invoiced on delivery and is due within 15 days of the invoice's date. Costs spent on the Client's behalf, such as a studio, props or travel, are billed at cost if they are listed here or the Client approves them first.

3. Use of the work

The Business keeps the copyright in all work it creates. When everything invoiced under this agreement is paid, the Client may use the final deliverables for these uses, places and period: [for example, the Client's website and social media, worldwide, with no end date]. Any other use needs the Business's written permission and may carry a fee. The license is non-exclusive unless stated here. The Business may show the work in its portfolio once it is public, unless the Client asks otherwise in writing.

4. The Client's part

The Client gets any permission needed for the places, people, products, logos and materials it provides or chooses, and is responsible for them. Agreed dates assume the Client gives feedback within 5 business days of each request; a delay on the Client's side moves them by the same amount.

5. Rescheduling and cancellation

The Client may move a booked date once without charge with at least 2 business days' notice. If the Client cancels, the booking payment is kept as a reasonable estimate of the Business's lost booking, the Client pays for work already done beyond it, and costs already spent on its behalf are paid as invoiced. If the Business cancels, it returns every amount paid for work not delivered. No cancellation charge applies where the law gives the Client a right to cancel.

6. Late payment

If an invoice under this agreement is not paid within 15 days after it is due, the Business may pause the work until it is paid, after telling the Client in writing, and any agreed dates move by the same amount. Pausing does not change what is owed.

7. Confidentiality

Each party keeps the other's non-public information confidential and uses it only for this work. This does not cover information that is public, that the receiving party already knew or developed on its own, or that the law requires it to disclose.

8. Limits of liability

Neither party is liable for indirect or consequential losses. Each party's total liability under this agreement is limited to the total fees under it. These limits do not apply to amounts the Client owes under this agreement, to fraud or willful misconduct, or where the law does not allow a limit.

9. Independent contractor

The Business works as an independent contractor. It decides how to do the work, pays its own taxes, and covers its own tools and expenses unless this agreement bills them to the Client.

10. Everything else

This agreement is these clauses and any change both parties approve in writing. If an invoice issued under it says something different, this agreement governs. It is governed by the laws of the place where the Business is based when the Client signs it. The parties indicate their agreement by signing below. Notice in writing includes email. If a part of it can't be enforced, the rest still applies. Electronic signatures and copies have the same effect as originals. Headings and the In short notes are reading aids only; the full text governs.

A few things to know.

Is this a signed contract?

No. Copying, downloading or printing produces an unsigned draft. Review the wording, complete missing details and arrange for both parties to sign. The free tool does not verify identity or record signatures.

Are these terms right for my project?

They are starting points for work between businesses. Read and adapt every clause for your arrangement and applicable law. Consumer work, regulated work and unusual risks may need different terms and professional advice.

Can I change more than the blanks?

Yes. Open Edit clause below any clause and write your own wording. An edited clause stops following the detail fields; Restore template wording reconnects it. Copy and download include the full wording you see.

Where is my draft saved?

Only in memory in this browser tab. We do not save these details to an account or browser storage. Download the text or save a PDF before refreshing or closing the page.
